1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Baan Counsel website located at baan-counsel.biz (the "Site") and the professional services we offer. They form a legally binding agreement between you and Baan Counsel, registered in Thailand with its principal office at 518 Sukhumvit Road, Soi 33, Watthana, Bangkok 10110.
By accessing the Site or engaging our services, you confirm that you are at least 18 years of age and that you accept these Terms in full. If you do not agree with any part of these Terms, you should not use the Site or engage our services.
2. Our Services
Baan Counsel provides immigration and work permit advisory services in Thailand, including:
- Non-immigrant visa consultation, document preparation, and liaison support
- Work permit application management, including initial applications, renewals, and change notifications
- Permanent residency application preparation, including feasibility assessment, dossier assembly, and interview preparation support
The services described on this website are provided as general information only. Specific service terms, scope, and deliverables are confirmed in writing at the time of formal engagement. Nothing on this website constitutes legal advice or creates a client-adviser relationship until a formal engagement is agreed upon.
3. Engagement Process
A formal engagement with Baan Counsel begins when both parties have agreed in writing to the scope of services, fees, and engagement conditions — typically through an engagement letter or service agreement. Submitting an enquiry through this website does not constitute the commencement of a formal engagement.
Prior to formal engagement, we may conduct a preliminary assessment of your circumstances. This assessment is provided as a courtesy and does not constitute professional advice or a commitment to take on your matter.
We reserve the right to decline to take on any matter at our discretion, including where a conflict of interest arises or where we consider the matter unsuitable for the firm's practice areas.
4. Fees and Payment
Our service fees are stated in Thai Baht and are set out in your engagement letter. The indicative fees published on this website represent standard service packages; your actual fee will depend on the complexity of your circumstances and will be confirmed prior to engagement.
- Fees are payable in accordance with the payment schedule in your engagement letter, which may include an initial deposit
- Government fees, third-party costs, and disbursements (such as translation or medical certificate costs) are charged separately at cost, unless otherwise stated
- Late payment may result in suspension of work until outstanding amounts are settled
- All fees are exclusive of VAT where applicable
Where an engagement is terminated before completion, fees will be charged in proportion to the work completed at the time of termination, together with any non-recoverable disbursements already incurred.
5. Your Obligations
To enable us to act effectively on your behalf, you agree to:
- Provide accurate, complete, and timely information and documentation as requested
- Notify us promptly of any changes to your circumstances that may affect your application or our advice
- Review all documents prepared on your behalf before submission and confirm their accuracy
- Attend appointments, interviews, or government offices when required
- Follow our guidance regarding the timing, sequencing, and presentation of your application
- Refrain from simultaneously engaging other advisors on the same matter without notifying us
Baan Counsel cannot be responsible for outcomes arising from incomplete, inaccurate, or late information provided by you.
6. Scope and Limitations of Services
Our services are advisory and preparation-focused. We assist you in understanding applicable processes, preparing documentation, and coordinating with relevant authorities. We do not represent you in formal legal proceedings, and our services do not constitute legal representation in court.
Immigration law in Thailand is subject to change, and the requirements set out by government authorities may be updated without notice. We will endeavour to keep you informed of material changes that affect your matter, but we are not responsible for changes in policy or law that occur after advice has been given.
Our advice is specific to the circumstances you have disclosed. Changes in your personal situation — employment, marital status, nationality, or otherwise — may affect its applicability.
7. No Assurance of Outcomes
Immigration and work permit decisions rest with the relevant Thai government authorities. While we work diligently to prepare the strongest possible application for your circumstances, we are unable to assure any particular outcome.
Nothing in our communications, proposals, fee schedules, or prior case history should be understood as a commitment to a specific result. Our fees are charged for professional time and expertise, not for the delivery of a particular approval or outcome.
8. Intellectual Property
All content on this website — including text, layout, graphics, and code — is the property of Baan Counsel and is protected by applicable intellectual property law. You may not reproduce, distribute, or adapt any part of this website without our prior written consent.
Documents, templates, and materials we prepare on your behalf as part of a service engagement remain our intellectual property until fees are paid in full, at which point they are licensed to you for the purposes of your application only.
9. Limitation of Liability
To the fullest extent permitted by Thai law, Baan Counsel's liability to you in connection with services provided is limited to the fees paid by you for the specific service giving rise to the claim.
We are not liable for indirect, consequential, or economic losses, including loss of employment, revenue, or opportunity, arising from the provision of our services, delays caused by government authorities, or changes in applicable law or policy.
This limitation does not apply in cases of gross negligence or wilful misconduct by our firm.
10. Termination
Either party may terminate an engagement by written notice. You may withdraw from an engagement at any time; fees accrued to the point of termination will remain payable.
We may terminate an engagement if you fail to meet your obligations under Section 5, fail to make payment, provide false or misleading information, or if continuing the engagement would place us in a professional or legal conflict.
On termination, we will provide you with a reasonable summary of work completed and return any original documents you have supplied.
11. Governing Law
These Terms, and any engagement with Baan Counsel, are governed by the laws of the Kingdom of Thailand. Any dispute arising from these Terms or our services that cannot be resolved by mutual agreement shall be submitted to the jurisdiction of the Thai courts.
12. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent version. Your continued use of the Site following any changes constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
For active client engagements, the Terms in effect at the time of your engagement letter will govern that engagement unless both parties agree otherwise in writing.
